PVH Corp. Sr Legal Counsel - PVH Corp. in New York, New York

POSITION SUMMARY:

Will have principal responsibility for general contracts and subsidiary maintenance and will support the Vice President and Assistant General Counsel, as well as the General Counsel, on corporate governance matters and transactions.

PRIMARY RESPONSIBILITIES/ACCOUNTABILITIES OF THE JOB:

  • Negotiation of general contracts, including vendor agreements, logistics agreements, confidentiality/non-disclosure agreements (transactional and vendor context), banking arrangements and merchant agreements

  • Annual subsidiary maintenance matters, as well as preparation of all authorizations and certificates necessary in connection with transactions, and benefit plan and credit agreement matters

  • Support Vice President and Assistant General Counsel in annual review of committee charters and corporate and Board policies, annual board and committee self-evaluation process, and director independence assessment

  • Provide support on corporate transactions as needed, including M&A matters and financing

QUALIFICATIONS:

Experience: 4+ years relevant experience in-house or in private practice

Education: JD or LLB minimum
